In addition to any notes or terms specified on the purchase order, all purchase orders placed by ZOOK have the following terms and conditions in effect, as determined applicable by ZOOK for the processes, products and services provided to ZOOK. It is the supplier’s responsibility to contact ZOOK Purchasing if any one of these terms and conditions can/will not be satisfied.
- ZOOK will communicate its requirements for the processes, products, and services to be provided, including the identification of relevant technical data such as specifications, drawings, process requirements, and work instructions, through the purchase order. It is the supplier’s responsibility to acknowledge and meet these requirements.
- ZOOK reserves the right for the approval of products and services, methods, processes, and equipment; and the release of products and services.
- ZOOK reserves the right for the approval of the supplier’s employee’s level of competence, including any required qualification
- The supplier’s primary interaction with ZOOK will be with the originator of the purchase order, unless directed otherwise by ZOOK.
- ZOOK will monitor supplier performance to help control levels of product and service quality and on-time delivery to ZOOK.
- ZOOK reserves the right to perform verification or validation activities on ZOOK’s behalf or on its customer’s behalf at the supplier’s premises or at any level of the supply chain.
- ZOOK reserves the right to apply controls to the supplier’s design and development activities.
- ZOOK reserves the right to identify special requirements, critical items, or key characteristics.
- ZOOK reserves the right to specify test, inspection, and verification requirements, including production process verification, witness testing, hold points, and any required notice periods. Forty-eight (48) hours’ notice is required for witness testing and hold points.
- ZOOK reserves the right to specify the use of statistical techniques for product acceptance and related acceptance instructions.
- Representatives of ZOOK, ZOOK’s customers, and applicable jurisdictional or regulatory authorities shall be allowed access, during normal working hours, to applicable areas of the supplier’s facilities and sub-supplier facilities where ZOOK material, product, or services are being manufactured, processed, tested, inspected, or stored, and to applicable documented information, for the purpose of verifying product conformance.
- The supplier must notify ZOOK of nonconforming processes, products, or services and obtain ZOOK’s approval for their disposition before implementation.
- All documents received by ZOOK must be legible.
- Complete material and drawing revision traceability must be maintained and documented throughout production for materials issued free of charge by ZOOK. When materials are to be subdivided or lot tracked, the transfer of the original markings or identification code shall be performed before the material is subdivided or the operation is performed.
- The supplier must prevent the delivery or use of counterfeit, fraudulent, or suspect items. Goods shall be manufactured by or for the original manufacturer and shall not contain counterfeit, fraudulent, or suspect materials. Upon acceptance of a ZOOK purchase order, the supplier shall extend this requirement to sub-tier suppliers for any work related to the purchase order.
- ZOOK reserves the right to specify the supplier’s need to implement a quality management system.
- ZOOK reserves the right to require the supplier to use ZOOK customer-designated or approved suppliers, including process sources such as special processes.
- The supplier must notify ZOOK of changes to processes, products, or services, including changes of the supplier’s sub-suppliers or location of manufacture, and obtain ZOOK’s approval where required.
- The supplier must flow down all applicable purchase order requirements, including applicable ZOOK customer requirements and counterfeit, fraudulent, or suspect item requirements, to sub-suppliers and sub-tier suppliers.
- ZOOK reserves the right to require the supplier to provide test specimens for design approval, inspection, verification, investigation, or auditing.
- ZOOK reserves the right to specify requirements for retaining documented information, including retention periods and disposition requirements.
- Suppliers must be committed to the highest standards of ethics and business conduct. Suppliers must comply with the law, honour commitments, act in good faith, and be accountable.
- Suppliers must ensure that employees and people working on their behalf are aware of:
- Their contribution to product or service conformity.
- Their contribution to product safety.
- The importance of ethical behaviour.
